The board of directors at Take-Two Interactive has rejected Electronic Arts‘ offer to buy the company at US 26 per share.
The board made clear that the offered amount was inadequate and was not in the best interest of the stockholders. In addition, the board also gave a unanimous suggestion to the stockholders not to tender any of their shares to Electronic Arts.
A recent press release detailed the different reasons why the board decided that US 26 per share wasn’t enough to purchase the company.
Here’s an abbreviated version of the list of the different justifications the board gave in support of their decision:
- EA’s Offer price is inadequate and substantially undervalues the Company.
- The Company’s financial advisors, Bear Stearns and Lehman Brothers, have each delivered an thought stating that, as of the date of such view, the EA Offer price was inadequate, from a financial point of view, to the stockholders of the Company.
- The Company’s directors and executive officers believe that the EA Offer price is inadequate and don’t intend to tender their Shares.
- The Board of Directors is committed to exploring strategic alternatives to maximize stockholder value and might be able to find a superior alternative to the EA Offer.
- The timing of the EA Offer is opportunistic.
- The EA Offer does not reflect progress in the Company’s revitalization efforts.
- The EA Offer does not reflect the Company’s potential synergy value that a proposed combination with EA would create.
- The EA Offer does not properly reflect the Company’s business, financial condition, current business strategy and future prospects. The Board of Directors believes that management’s and the Board of Directors’ understanding of and familiarity with the Company’s business, financial condition, current business strategy and future prospects has not been fully reflected in the Company’s results of operations or Share price.
- The consideration offered by EA is taxable. The consideration offered by EA would in general be taxable to the Company’s stockholders.
- The Offer is highly conditional, which results in significant uncertainty that the Offer will be consummated.
Take-Two Interactive’s Chairman of the Board, Strauss Zelnick, also gave out a few words regarding their decision. While Take-Two is “open to beginning informal discussions starting now,” Zelnick stressed that the interests of the company’s stockholders “would hardly be served by accepting an offer from EA at the wrong price and the wrong time.”

Even if original devs Crytek aren’t involved with Far Cry 2’s development, there’s still a lot of anticipation for it across its three host platforms. Most of you’re probably aware that its launch has been moved, but for those who aren’t, it ships simultaneously on the PC, Microsoft Xbox 360 and Sony PlayStation 3 in the Fall of 208.
While it’s great news that the game will see the light of day this year, it’ll be a bit of a downer to some that the devs revealed that there won’t be a demo for it. Producer LP and publisher Ubisoft have concurred to focus all the efforts of the development team into polishing so that Far Cry 2 can hit stores in the soonest possible time, sporting the ideal possible quality.
Sounds like a sensible way to do business. In the meantime, a new gameplay video is available to keep you company while you wait for this promising FPS. Enjoy!

Jeffrey Tseng is Secret Level’s game director for the upcoming Iron Man (PC, PS3, PSP, DS, Wii, Xbox 360) video game. It’s his job to craft the story for the game adaptation of the Marvel super hero. As he will tell you, it’s no simple task.
According to Tseng, the challenges of making Iron Man came from at least two fronts. The first was the need to be consistent with what was shown in the Iron Man motion picture. The second was the need to satisfy die-hard Iron Man comic book fans.
Fortunately, Tseng stated that he managed to reconcile the two. The result is a story that contains new and original content, yet still overlaps the motion picture and the comic book at certain points.
Tseng also mentioned that the Secret Level team had hit a few snags when working with the scripts. The mission dialogue scripts were particularly problematic.

S2 Games has just announced the release of Free Content Patch One for Savage 2: A Tortured Soul. This first FCP for the game contains improvements and a whole lot of goodies for everyone.
Improvements have made changes to the melee combat system in the game. The developers have managed to tweak the game to make it now more enjoyable and rewarding. The gameplay will be more fluid than the last time.
